1. Definitions
In these Terms, the following definitions apply:

"Platform" | The PolyTrade website, mobile applications, smart contracts, APIs, and all associated services operated by PolyTrade ("Company," "we," "us," or "our"). |
"User" | Any individual or entity that accesses or uses the Platform. |
"Prediction Market" | A market on the Platform in which Users may purchase Outcome Shares tied to the resolution of a specific real-world event. |
"Outcome Shares" | Tokenised positions representing a stake in a particular outcome of a Prediction Market. |
"Wallet" | A non-custodial or custodial cryptocurrency wallet used to interact with the Platform. |
"Settlement" | The resolution of a Prediction Market following the occurrence (or non- occurrence) of the relevant real-world event. |
"Supported Assets" | The cryptocurrencies and/or stablecoins accepted by the Platform at any given time, as published on the Platform. |
"Restricted Person" | Has the meaning given in Clause 3. |
"KYC/AML" | Know Your Customer and Anti-Money Laundering verification procedures. |
"Smart Contract" | The self-executing blockchain-based code through which Prediction Markets are created, traded, and settled on the Platform. |
2. Acceptance and Modifications
2.1 By accessing, registering on, or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any additional terms or guidelines published on the Platform.
2.2 We reserve the right to amend these Terms at any time. Material changes will be notified to you via email or a prominent notice on the Platform at least 14 days before the change takes effect. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms.
2.3 If you disagree with any amendment, your sole remedy is to discontinue use of the Platform and close your account.
3. Eligibility and Restricted Jurisdictions
3.1 Age Requirement. You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.
3.2 Restricted Persons. You may not use the Platform if you are:
• A resident, national, or citizen of, or located in, any of the following Restricted Jurisdictions:
• United States of America (including its territories and possessions)
• India
• China (mainland)
• North Korea, Iran, Syria, Cuba
• Crimea, Donetsk, and Luhansk regions
• Any jurisdiction designated as High-Risk or Non-Cooperative by FATF from time to time
• Any other jurisdiction where participation in prediction markets or use of the Platform would be unlawful or require a licence
• An individual or entity on any sanctions list maintained by the United Nations, the EU, the United Kingdom's OFSI, the U.S. OFAC, or any other applicable sanctions authority;
• A politically exposed person (PEP) or an immediate family member or close associate of a PEP, except where specifically approved through our enhanced due diligence process;
• Acting on behalf of any of the above.
3.3 User Representation. By using the Platform, you continuously represent and warrant that you are not a Restricted Person and that your use of the Platform does not violate any applicable law or regulation. We may request evidence of your eligibility at any time.
3.4 Geofencing and Technical Controls. We employ technical measures to restrict access from Restricted Jurisdictions. You agree not to circumvent, disable, or interfere with these controls. Use of VPNs, proxy servers, or other tools to mask your true location constitutes a material breach of these Terms and may result in immediate account termination and forfeiture of any outstanding positions.
4. Account Registration and KYC/AML
4.1 Registration. To access the full functionality of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain its accuracy.
4.2 Identity Verification. We are required to verify your identity under applicable KYC/AML regulations. You agree to:
• Provide all documentation and information we reasonably request for identity verification, including government-issued photo ID, proof of address, source of funds documentation, and any other information required by our compliance programme;
• Undergo enhanced due diligence if required, including video verification, additional documentation, or third-party identity checks;
• Promptly update your information if any details change.
4.3 Verification Tiers. The Platform may operate a tiered verification system with different deposit, withdrawal, and trading limits. Details of current limits are published on the Platform.
4.4 Account Security. You are responsible for maintaining the confidentiality of your account credentials, including passwords and two-factor authentication codes. Notify us immediately at support@polytrade.live if you become aware of any unauthorised access. We are not liable for any loss arising from your failure to maintain account security.
4.5 One Account Per Person. You may only maintain one account on the Platform. Creating duplicate accounts is prohibited and may result in all accounts being suspended.
4.6 Corporate Accounts. If registering on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms and that the entity meets all eligibility requirements.
5. Description of Services
5.1 Nature of the Platform. PolyTrade is an information and prediction market platform that enables Users to trade Outcome Shares on the resolution of real-world events across categories including politics, finance, sports, technology, and macroeconomics.
5.2 Not Gambling. Prediction markets are distinct from gambling. The Platform facilitates the trading of event-contingent assets. Prices represent crowd-aggregated probabilities, not house-set odds. No entity on the Platform acts as a counterparty bookmaker. You are trading against other participants, not the Company.
5.3 Not Financial Advice. Nothing on the Platform constitutes investment, financial, trading, or legal advice. All information is for informational purposes only. You are solely responsible for your trading decisions.
5.4 Not a Securities Exchange. The Company does not represent that Outcome Shares constitute securities or that the Platform is a licensed securities exchange, broker, or dealer in any jurisdiction. You are responsible for determining whether your use of the Platform complies with applicable financial regulation in your jurisdiction.
5.5 Market Availability. We reserve the right to list, delist, suspend, or modify any Prediction Market at our sole discretion.
6. Prediction Markets — Rules and Settlement
6.1 Market Rules. Each Prediction Market is governed by specific Market Rules published on the Platform, defining resolution criteria, sources, timelines, and edge-case handling. You must read the Market Rules of any market before trading.
6.2 Resolution. Markets are resolved by a designated resolution source, which may be an oracle, a publicly verifiable data source, or a resolution committee appointed by the Company.
6.3 Disputes. If you believe a market has been resolved incorrectly, you may submit a dispute within 48 hours of resolution by contacting support@polytrade.live. The Company's resolution committee's determination shall be final and binding, except in cases of manifest error.
6.4 Voided Markets. A market may be voided (and all positions refunded) where the underlying event does not occur, is cancelled, is materially changed, or where resolution is impossible or ambiguous. Refunds will be returned to your Platform account within a reasonable time.
6.5 Market Manipulation. You must not engage in any conduct designed to manipulate the outcome of a Prediction Market or its underlying event, including wash trading, coordinated trading activity, or any other manipulative strategy. Such conduct is a material breach of these Terms.
7. Deposits, Withdrawals, and Fees
7.1 Supported Assets. The Platform accepts deposits in Supported Assets only, as listed on the Platform from time to time. We reserve the right to add or remove Supported Assets at any time.
7.2 Deposits. Deposits become available upon confirmation on the relevant blockchain. We are not responsible for delays caused by network congestion, incorrect wallet addresses, or third-party failures.
7.3 Minimum Amounts. Minimum deposit and withdrawal amounts are published on the Platform and may be updated from time to time.
7.4 Withdrawals. You may request withdrawal of available balances at any time, subject to your KYC tier limits, applicable holding periods, completion of pending compliance reviews, and absence of any account restriction. We aim to process withdrawal requests within 24–72 hours.
7.5 Fees. The Company charges fees on trades and/or withdrawals as described in the Fee Schedule published on the Platform. You are responsible for any applicable blockchain network (gas) fees.
7.6 Taxes. You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Platform. The Company does not provide tax advice.
7.7 No Interest. The Company does not pay interest on balances held in your Platform account.
8. Prohibited Activities
You agree not to use the Platform, directly or indirectly, to:
(a) Engage in any activity that violates applicable law or regulation in any jurisdiction;
(b) Circumvent, disable, or interfere with any security, geofencing, or KYC/AML control of the Platform;
(c) Use a VPN, proxy, or other tool to mask your true location for the purpose of accessing the Platform from a Restricted Jurisdiction;
(d) Engage in market manipulation, wash trading, front-running, spoofing, or any other deceptive trading practice;
(e) Launder money, finance terrorism, or otherwise facilitate illegal financial activity;
(f) Conduct denial-of-service attacks, scrape Platform data, or exploit vulnerabilities in Platform code or Smart Contracts;
(g) Impersonate any person or entity or misrepresent your affiliation;
(h) Create multiple accounts to circumvent limits, restrictions, or bans;
(i) Use bots or automated scripts in a manner that violates our API usage policy;
(j) Publish or transmit any content that is defamatory, obscene, harassing, or otherwise objectionable;
(k) Attempt to influence or manipulate the outcome of any underlying real-world event on which a Prediction Market is based.
9. Smart Contracts and Technology Risk
9.1 Smart Contract Risk. The Platform relies on Smart Contracts deployed on public blockchain networks. Smart Contracts may contain bugs or vulnerabilities. You acknowledge and accept the inherent risks of Smart Contract technology, including the risk of loss of funds due to code exploits, oracle failures, or network failures.
9.2 Blockchain Risk. Blockchain networks are decentralised and not controlled by the Company. Network forks, congestion, protocol upgrades, or regulatory actions may impact the availability or functionality of the Platform.
9.3 Custody Risk. To the extent the Platform holds Supported Assets on your behalf, you acknowledge that this is subject to the custody arrangements described in our Security documentation. We do not guarantee the security of assets against all possible attack vectors.
9.4 No Recovery. Blockchain transactions are generally irreversible. The Company has no ability to reverse or modify a completed blockchain transaction. You are solely responsible for ensuring the accuracy of any transaction you initiate.
10. Intellectual Property
10.1 All intellectual property rights in and to the Platform are owned by or licensed to the Company. Nothing in these Terms grants you any right in or to such intellectual property.
10.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes.
10.3 You must not copy, modify, distribute, sell, reverse-engineer, or create derivative works of any part of the Platform without our prior written consent.
11. Disclaimers and Limitation of Liability
11.1 "As Is" Basis. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR- FREE, SECURE, OR AVAILABLE AT ALL TIMES.
11.2 No Liability for Losses. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.
11.3 Cap on Liability. TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
11.4 Trading Losses. The Company is not liable for any trading losses you incur on the Platform, including losses arising from market volatility, incorrect predictions, or platform downtime.
11.5 Third-Party Services. The Platform may interact with third-party services, including oracles, bridges, wallets, and payment providers. We are not responsible for the performance, security, or availability of any third-party service.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) Your use of the Platform in breach of these Terms;
(b) Your violation of any applicable law or regulation;
(c) Any misrepresentation made by you;
(d) Any claim by a third party arising from your use of the Platform.
13. AccountSuspensionandTermination
13.1 We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, if we determine that:
• You have breached any provision of these Terms;
• You are a Restricted Person or have provided false eligibility information;
• Your account is involved in suspicious, fraudulent, or unlawful activity;
• We are required to do so by applicable law or a competent authority;
• You have engaged in market manipulation or abuse.
13.2 Upon termination, any verified available balance in your account (net of applicable charges) will be returned to your designated withdrawal address, subject to any required compliance review. Open positions may be closed at prevailing market prices.
13.3 You may close your account at any time by contacting support@polytrade.live. Account closure does not affect any rights or obligations accrued prior to closure.
14. Miscellaneous
14.1 Entire Agreement. These Terms, together with the Privacy Policy and applicable Market Rules, constitute the entire agreement between you and the Company with respect to the Platform.
14.2 Severability. If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder shall continue in full force.
14.3 No Waiver. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
14.4 Assignment. You may not assign or transfer any of your rights without our prior written consent. We may freely assign our rights and obligations.
14.5 Force Majeure. We shall not be liable for any failure or delay arising from causes beyond our reasonable control, including acts of God, blockchain network failures, regulatory actions, or cyberattacks.
14.6 Language. These Terms are drafted in English. Any translation is for convenience only, and the English version shall prevail in the event of any conflict.
